Terms of Service

By accessing or using ServiceBoss's website, applications, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Services. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and ServiceBoss, Inc. ("ServiceBoss," "we," "us," or "our"). We reserve the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

You must be at least 18 years of age and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

Some Services require account registration. You agree to provide accurate, current, and complete information, and to update it as needed. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at our support team if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or engage in fraudulent activity.

ServiceBoss provides the following services, subject to availability and these Terms: • AI Builder — AI-powered application generation and development tools. • Design Studio — Custom product design with print-on-demand fulfillment. • Page Builder — Drag-and-drop website creation, hosting, and management. • Business Formation — Entity formation filing services (LLC, S-Corp, C-Corp, Nonprofit, DBA), registered agent services, EIN filing, compliance monitoring, and related add-ons. • Marketplace — Digital products and templates for purchase and download. • Print-on-Demand — Custom merchandise design, printing, and shipping. • Business Tools — Domain registration, business email, virtual addresses, contract templates, and related services. • Licence, Bond & Insurance Requirements Research — research into what a given trade requires in a given state in order to operate lawfully, delivered with the issuing authority for each item. This is requirements research and NOT legal advice; ServiceBoss is not a law firm and is not an insurance producer. • Work Uniforms & Custom Print — branded workwear and printed items for service businesses — embroidered polos and work shirts, hi-vis, caps, hoodies, aprons and scrubs. ServiceBoss, Inc. is a separate company from BusyFirm, Inc. and Joyvo, Inc. Services offered by those companies are governed by their own terms and are not provided under this agreement. Service features, pricing, and availability may change at our discretion. We will provide reasonable notice of material changes.

ServiceBoss acts as an authorized filing service to prepare and submit formation documents on your behalf to the appropriate state agencies. By using our Business Formation Services, you acknowledge and agree: a) ServiceBoss is NOT a law firm and does NOT provide legal advice. Our services are document preparation and filing services only. b) You are responsible for the accuracy and completeness of all information provided. c) State filing fees are separate from ServiceBoss service fees and are paid directly to the state. d) Filing timelines are estimates based on typical state processing times and are not guaranteed. e) ServiceBoss may act as your organizer/incorporator for formation document filing purposes. f) By submitting a formation order, you authorize ServiceBoss to prepare, sign (as organizer/incorporator where applicable), and file documents with the relevant state agencies on your behalf. g) Sensitive information (SSN, EIN) is encrypted in transit and used solely for filing purposes. We do not store SSN data after filing is complete. h) Registered Agent services are billed annually after the initial included period. You will be notified before renewal. i) Annual compliance, BOI filing, and other recurring services renew automatically unless cancelled.

ServiceBoss operates a multi-vendor Marketplace where approved vendors can list and sell products. By using the Marketplace, you agree: As a Buyer: • Product listings are provided by independent vendors. ServiceBoss does not manufacture, warehouse, or directly fulfill vendor products. • Product descriptions, images, and pricing are set by the vendor. ServiceBoss is not responsible for the accuracy of vendor-provided information. • Disputes regarding vendor products should first be raised with the vendor. If unresolved, contact our support team for mediation. • Returns and refunds for vendor products are subject to each vendor's stated return policy, in addition to applicable consumer protection laws. As a Vendor: • Vendors must apply and be approved before listing products. ServiceBoss reserves the right to approve, reject, or revoke vendor status at any time. • Vendors are responsible for the accuracy of their listings, pricing, inventory, and fulfillment. • ServiceBoss collects a commission on each sale as specified in the vendor agreement. • Vendors must comply with all applicable laws, including consumer protection, product safety, and tax obligations. • Vendors grant ServiceBoss a non-exclusive license to display their product listings, images, and branding on the Marketplace. • ServiceBoss may remove listings or suspend vendor accounts that violate these Terms, receive excessive complaints, or engage in fraudulent activity. • Vendor payouts are processed according to the payout schedule in the vendor dashboard. ServiceBoss is not responsible for delays caused by payment processor issues.

Payments are processed securely by our PCI-compliant payment processor. • Formation package fees ($0, $199, $349) are one-time charges for the formation filing service. • State filing fees vary by state and entity type and are non-refundable once submitted to the state. • Recurring services (Registered Agent, Annual Compliance, Virtual Address, etc.) are billed at their stated intervals and renew automatically. • You may cancel recurring services at any time before the next billing cycle. • All prices are in US Dollars. • We reserve the right to change pricing with 30 days' notice for existing subscriptions.

All sales are final. We do not issue refunds. • If the state rejects a filing because of an error we made, we correct it and re-file at no charge. • State filing fees are paid to the state on your behalf and cannot be returned. • Digital products, templates, and downloads are final once delivered. • Print-on-demand products that arrive damaged or defective are replaced at no charge. • Subscriptions can be cancelled at any time. Cancelling stops the next charge; the current billing period is not refunded. Questions about a charge? Contact our support team.

All ServiceBoss content, software, designs, trademarks, and materials are owned by ServiceBoss, Inc. or its licensors and protected by intellectual property laws. • You retain ownership of content you create using our tools (designs, websites, applications). • By uploading content, you grant ServiceBoss a non-exclusive, worldwide license to host, display, and process your content solely for providing the Services. • You may not reproduce, modify, distribute, or reverse-engineer ServiceBoss's software or proprietary materials. • Templates and digital products purchased from our Marketplace are licensed for your personal or commercial use as specified in their respective licenses. They may not be resold or redistributed.

This section applies in addition to Section 9 and governs use of the ServiceBoss AI Builder, Page Builder, Design Studio, and related AI-assisted tools (collectively, the "Builder Tools"). The Builder Tools are provided to help you build YOUR own products, websites, applications, and content — not to enable replication of ServiceBoss itself. You agree NOT to: • Use the Builder Tools to design, build, host, deploy, or operate a product, website, or service that materially replicates the ServiceBoss platform, including but not limited to: the AI Builder workflow, the Design Studio canvas system, the Page Builder publishing pipeline, the multi-provider AI routing layer, the BYOK credential bridge, the engine-session orchestration, or any combination of these. • Use the Builder Tools to build a competing AI website builder, AI page builder, AI design studio, AI marketplace, or AI agent platform marketed as a substitute for ServiceBoss or any of its niche-domain products. • Extract, copy, transcribe, or distill any prompts, system messages, tool schemas, model-routing rules, agent instructions, decision trees, or internal architecture descriptions from ServiceBoss's responses, error messages, debug logs, or platform behavior, whether obtained through normal use, reverse-engineering, prompt injection, jailbreak attempts, or any other means. • Use the Services to train, fine-tune, distill, or evaluate any machine-learning model, AI system, or large language model that is intended to compete with ServiceBoss or to replicate ServiceBoss's capabilities. • Operate automated agents, scrapers, harvesters, or instrumentation that systematically capture ServiceBoss's outputs, UI, source-of-truth files, or telemetry beyond what a single human user would generate in normal interactive use. • Resell, sublicense, white-label, or redistribute the Builder Tools or their outputs as a stand-alone service without an express written commercial agreement with ServiceBoss, Inc.. (Building YOUR own products on the platform is encouraged; reselling ServiceBoss itself is not.) • Remove, obscure, alter, or circumvent any rate limit, watermark, access control, audit log, billing meter, attribution notice, anti-clone safeguard, or other technical measure built into the Services. • Misrepresent ServiceBoss's models, infrastructure, or capabilities as your own — in marketing, investor materials, app store listings, or otherwise. Trade-secret protection. The internal architecture of ServiceBoss — including but not limited to the credential-bridging system, multi-provider AI routing, model-bay orchestration, anti-clone safeguards, audit-pinning system, deploy pipeline, and BYOK token-refresh logic — constitutes confidential trade-secret information. You will not solicit, accept, request, or attempt to reconstruct descriptions of this internal architecture from ServiceBoss responses, employees, contractors, or systems. ServiceBoss responses that decline to describe internal architecture are intentional and protected. Enforcement. Violation of this Section 9A is a material breach of these Terms. We may, at our sole discretion and without prior notice: (a) suspend or permanently terminate your account, (b) revoke licenses to any output you generated using the Services, (c) report violations to applicable AI providers (Anthropic, OpenAI, etc.) for additional enforcement under their Acceptable Use Policies, (d) seek injunctive relief and damages under applicable trade-secret, copyright, contract, and unfair-competition law, and (e) require you to cease and destroy any derivative works that violate this section. Carve-out for legitimate use. Building your own SaaS product, agency offering, white-label site, or AI-assisted business on top of the Builder Tools is permitted and encouraged — that is the product. The line is between "I built MY thing using ServiceBoss" (allowed) and "I built ANOTHER ServiceBoss" (prohibited). When in doubt, contact us before launching: our support team.

You are solely responsible for content you upload, create, or share through the Services. You agree not to: • Upload content that infringes intellectual property rights of others. • Use the Services for unlawful, fraudulent, or harmful purposes. • Transmit malware, spam, or any code designed to harm or disrupt. • Attempt to gain unauthorized access to our systems or other users' accounts. • Use automated tools to scrape, crawl, or extract data from the Services. • Misrepresent your identity or affiliation with any person or organization. • Use the Services to create content that is defamatory, obscene, or promotes violence or hate. We reserve the right to remove content and suspend accounts that violate these guidelines.

The Services may integrate with or link to third-party services including payment processors, state government filing portals, domain registrars, email providers, and shipping carriers. Your use of third-party services is governed by their respective terms and privacy policies. ServiceBoss is not responsible for the availability, accuracy, or practices of third-party services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE SPECIFIC OUTCOMES FROM BUSINESS FORMATION FILINGS, INCLUDING APPROVAL TIMELINES OR TAX TREATMENT. SERVICEBOSS IS NOT A LAW FIRM, ACCOUNTING FIRM, OR FINANCIAL ADVISOR. INFORMATION PROVIDED THROUGH THE SERVICES IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, TAX, OR FINANCIAL ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICEBOSS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO SERVICEBOSS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless ServiceBoss and its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

Any disputes arising from these Terms or the Services shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in the state of Pennsylvania. You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

You may terminate your account at any time by contacting our support team. We may suspend or terminate your account for violation of these Terms, fraudulent activity, or at our discretion with reasonable notice. Upon termination, your right to use the Services ceases immediately. Content you created may be deleted after a reasonable retention period. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ServiceBoss. • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect. • Waiver: Failure to enforce any provision does not constitute a waiver of that provision. • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights freely. • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
